TERMS & CONDITIONS – NARRATO STUDIO

Article 1 – Definitions
1.1 Narrato Studio: currently in formation, established in the Netherlands, provider of audiovisual services including drone footage, camera content, photography, storytelling concept development, video editing, and social media edits.
1.2 Client: the natural or legal person making use of the services provided by Narrato Studio.
1.3 Agreement: any written or electronic arrangement between Narrato Studio and the Client regarding the provision of services.
1.4 Services: all activities offered by Narrato Studio.
1.5 Written: communication via email or other digital means that allow durable recordkeeping.

Article 2 – Applicability
2.1 These terms and conditions apply to all offers, quotations, assignments, and agreements issued by Narrato Studio.
2.2 Deviations are only valid if agreed in writing.
2.3 If any provision is deemed void or is annulled, the remaining provisions will remain fully effective.

Article 3 – Quotations and Agreements
3.1 All quotations are non-binding and valid for 30 days unless otherwise stated.
3.2 An agreement is established once the Client provides written or electronic confirmation and Narrato Studio has acknowledged it.
3.3 Narrato Studio reserves the right to refuse assignments without stating reasons.
3.4 Changes to the assignment may result in adjustments to costs or timelines.

Article 4 – Execution of the Assignment
4.1 Narrato Studio will execute assignments to the best of its knowledge and ability, according to the agreed specifications.
4.2 The Client is responsible for providing all necessary materials and information in a timely manner. Delays caused by the Client are at their own risk.
4.3 Narrato Studio may engage third parties to execute (parts of) the work.
4.4 Minor deviations do not entitle the Client to rejection or compensation, provided the end result can reasonably be deemed acceptable.

Article 5 – Prices and Payment
5.1 All prices are exclusive of VAT and any additional costs (such as travel, transport, or permit fees), unless otherwise agreed.
5.2 Invoices must be paid within 14 days of the invoice date.
5.3 If payment is not received on time, the Client is legally in default. Statutory commercial interest and collection fees in accordance with the Dutch Collection Costs Act (WIK) will be charged, with a minimum of €50.
5.4 Narrato Studio reserves the right to suspend its services in the event of non-payment.

Article 6 – Cancellation and Termination
6.1 Cancellation must be made in writing.
6.2 If the Client cancels the assignment before commencement, 30% of the agreed amount will be charged as reasonable compensation.
6.3 If cancellation occurs after work has commenced, the Client will be charged for the hours worked and costs incurred.

Article 7 – Travel Costs and Additional Expenses
7.1 For assignments outside a 20-kilometer radius from the company’s location, a travel fee of €0.40 per kilometer will be charged.
7.2 If travel time exceeds one hour, an additional rate of €50 per extra hour of travel will be charged.
7.3 Any extra costs such as permits or third-party services will only be invoiced with written approval from the Client.

Article 8 – Intellectual Property
8.1 All content and materials created by Narrato Studio remain the property of Narrato Studio, unless agreed otherwise in writing.
8.2 The Client is not allowed to modify the delivered materials without prior written consent.
8.3 Narrato Studio reserves the right to use delivered work for promotional purposes, unless the Client objects in writing.

Article 9 – Liability and Warranty
9.1 Narrato Studio is only liable for direct damage resulting from an attributable shortcoming, excluding intent or gross negligence.
9.2 Liability is limited to the invoiced amount of the specific assignment.
9.3 Narrato Studio is not liable for indirect damages such as loss of profit or reputational damage.
9.4 Any complaints about the delivered services must be submitted in writing within 7 days of delivery.

Article 10 – Force Majeure
10.1 Narrato Studio is not liable for delays or failures to perform due to force majeure, such as weather conditions, malfunctions, or other unforeseen circumstances.
10.2 If the force majeure lasts longer than 60 days, both parties have the right to terminate the agreement without further obligations.

Article 11 – Privacy and Data Protection
11.1 Narrato Studio processes personal data in accordance with the General Data Protection Regulation (GDPR).
11.2 Personal data will only be used to perform the agreement and will not be shared with third parties, unless legally required.

Article 12 – Confidentiality
12.1 Both parties are obligated to maintain the confidentiality of all confidential information shared during the agreement.
12.2 Information is considered confidential if it has been designated as such by either party or if it is confidential by its nature.

Article 13 – Disputes and Applicable Law
13.1 These terms and conditions are governed exclusively by Dutch law.
13.2 Disputes shall first be attempted to be resolved amicably and through mediation. If unsuccessful, the dispute will be submitted to the competent court in the district where Narrato Studio is located.

Article 14 – Amendments to the Terms and Conditions
14.1 Narrato Studio reserves the right to amend these terms and conditions.
14.2 Any changes will be communicated to the Client in writing and will take effect 30 days after notification.
